Agreement
These terms are an agreement between DEMAND Technologies LLC ("we", "us") and the business that installs Syntra™ on a Shopify store ("you"). By installing or using the app, you agree to these terms and to our privacy policy. If you use the app on behalf of a company, you confirm that you can accept these terms for it.
Your use of Shopify itself is covered by Shopify's own terms, which these terms do not change.
The service
Syntra moves product, inventory, order, and customer data between your Shopify store and the systems you connect, such as SFTP and WebDAV servers, API endpoints, and Google Sheets. You decide which jobs run, what data they include, where the data goes, and when they run.
Custom jobs are built and maintained by our support team for a specific store. What a custom job does is agreed with you when it is set up.
Plans and billing
- Paid plans are billed through Shopify as a recurring charge on your Shopify invoice. Prices and plan limits are shown on the Plan and Billing page in the app.
- You can change or cancel your plan at any time from that page, or by uninstalling the app. Changes take effect as described by Shopify's billing rules for app subscriptions.
- Charges already made are not refunded, except where the law requires it or we agree otherwise in writing.
- If a plan's limits go down, for example after a downgrade, jobs or features above the new limits may be paused until you change them or upgrade.
- We may change prices or plan limits. We will tell you in the app or by email at least 30 days before a price increase affects you.
Your responsibilities
- You are responsible for how you configure jobs, including field mappings, schedules, and destinations, and for checking that the results are what you expect before relying on them.
- You must have the right to send the data your jobs move, including any personal data of your customers, to the destinations you choose, and you must follow the privacy laws that apply to your store.
- Keep your own backups. Imports can create, update, or delete data in Shopify, and exports can overwrite files at your destinations.
- Keep the connection details you enter in the app, such as passwords and API keys, current and secure.
Acceptable use
You agree not to:
- use the app for anything unlawful, or to send data you are not allowed to share;
- try to access another store's data, or bypass plan limits or security controls;
- overload the service on purpose, or interfere with other merchants' use of it;
- copy, resell, or reverse engineer the app, except where the law allows it.
We may pause jobs or suspend access that breaks these rules or puts the service or other merchants at risk. Where we can, we will tell you first.
Other services
The app works with services we do not control, including Shopify, Google, and the servers and APIs you connect. Their availability and terms are their own, and we are not responsible for them. If one of them changes or stops working, related jobs may fail until it is fixed.
Availability and changes
We work to keep the app available and your jobs running on time, but we do not guarantee uninterrupted service. Maintenance, Shopify API limits, and outages at Shopify or our hosting providers can delay or stop jobs. We may improve, change, or remove features. If a change takes away something your paid plan relies on, we will tell you in advance.
Ownership
Your store data stays yours. You give us permission to process it only to run the app for you, as described in the privacy policy. The app, its software, and its content belong to DEMAND Technologies LLC. If you send us feedback, we may use it to improve the app without owing you anything for it.
Disclaimer
Except as stated in these terms, the app is provided "as is" and "as available", without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows.
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the app. Our total liability for any claim relating to the app is limited to the amount you paid us for it in the 12 months before the claim arose.
Indemnity
You agree to cover our reasonable costs, including legal fees, if a third party makes a claim against us because of data you sent through the app, the way you configured your jobs, or your breach of these terms.
Ending the agreement
You can stop using the app at any time by uninstalling it. We may end these terms or your access if you seriously break them, or if we stop offering the app, in which case we will give you reasonable notice. What happens to your data after you uninstall is described in the privacy policy.
Governing law
These terms are governed by the laws of the State of Oregon, USA, without regard to its conflict of law rules. Any dispute will be handled by the state or federal courts located in Oregon, unless the law where you are based requires otherwise.
Changes to these terms
When we update these terms, we change the date at the top of this page. If a change is material, we will tell you in the app or by email before it takes effect. Continuing to use the app after that means you accept the updated terms.
